Dubai off-plan reservation: the documents to read first

Before making a Dubai off-plan reservation, read the reservation form, Sales and Purchase Agreement (SPA), payment schedule and registration records as one set.

Before making a Dubai off-plan reservation, read the reservation form, Sales and Purchase Agreement (SPA), payment schedule and registration records as one set. Check that the buyer, project, unit, price and payment instructions match before you sign or transfer funds.

Key takeaways
  • What should the reservation form confirm? The correct buyer and unit, the agreed price, payment deadline, expiry date and written cancellation and refund terms.
  • Which contract governs the purchase? The signed SPA sets out the parties’ rights and obligations. The reservation form records earlier booking terms.
  • How can you check the unit? Compare its identifier, floor, area, view, plan and specifications across the contract documents and attachments.
  • How does a 1% payment plan work? Each instalment is usually calculated as 1% of the purchase price, while the contract sets the payment dates and remaining balance.
  • What buyer documents may be requested? Identity and address details, source-of-funds records and, where relevant, joint-owner or representative documents.
  • What registration record should you keep? Retain the signed SPA, its attachments, payment evidence and any Oqood record, which relates to interim registration of an off-plan sale.

This infographic highlights three areas to review when reading a Dubai off-plan reservation. Use it as a quick guide before proceeding.

Start with the reservation form or expression of interest

A reservation form or expression of interest records the buyer’s initial booking terms. Read it as a document that may create obligations under its wording, not as proof that the SPA has been signed or that the project is registered.

Match the buyer’s full legal name and passport details to the intended purchase. Check the project name, unit number and agreed price too, because an error can carry into the SPA and later registration records.

Identify the reservation amount, the payment deadline and the date the form expires. Check whether it sets a deadline for the developer to issue the SPA or for the buyer to sign it.

Read the withdrawal, cancellation and refund terms together. Establish what happens if the buyer withdraws, misses a deadline or does not receive the SPA, including any deductions, the refund process and where to submit a request.

Verify the project, parties and unit details

Compare the project and developer names in the documents with Dubai Land Department (DLD) project information. Check the broker’s authority through the relevant Dubai property records before relying on payment instructions or representations about the unit.

Match the unit identifier, floor, stated area, view and floor plan across the reservation form, SPA and attached plans. Differences can change what the contract describes, so resolve them in writing before signing.

Check buyer names and passport details consistently, especially where there are joint buyers. Use the same identified versions of the plans and specifications that the contract refers to, and make sure each attachment is present rather than relying on a separate brochure.

For project screening, our off-plan properties in Dubai service curates developments based on location, developer track record and growth potential, with direct developer access and support through handover and beyond. That focus helps us review whether the named project and developer in the paperwork match the intended investment.

Our profiles of Dubai property developers provide further context for assessing the developer named in the contract. Keep that assessment separate from the document check: the contract must still identify the correct legal parties and unit.

Read the SPA for the terms that govern the purchase

The SPA is the main sale contract setting out the buyer’s and developer’s rights and obligations. A reservation form records earlier booking terms, but it does not by itself complete the SPA or the project registration process.

Read the clauses on payment defaults, termination, developer changes, construction delays, assignment or resale, completion and handover together. One event can trigger several duties, so trace what each clause requires from the buyer and the developer.

Compare every agreed incentive, upgrade, payment concession or other assurance with the SPA and its attachments. Ask for the agreed term to appear in the signed contract documents rather than relying on a marketing statement or message.

Check how the SPA defines the unit area and permitted changes. Those definitions determine how the contract handles changes to the plan, layout or specifications.

For buyers reviewing a villa purchase, our off-plan villas in Dubai advisory focuses on waterfront and limited-inventory communities and an 18-24-month investment horizon. That focus makes it useful to check that the villa, plot details, included specifications and any permitted changes are clear in the contract.

Trace every instalment and verify where payment goes

Reconcile the payment schedule with the SPA. Record each instalment, due date and payment trigger, then calculate the remaining balance, including any completion payment and separately stated fees or costs.

A 1% payment plan generally describes instalments calculated as 1% of the purchase price. The contract sets the actual frequency, duration and balance due, so read its schedule instead of assuming every plan follows the same timetable.

For illustration, a buyer on a 1% instalment plan can check the calculation step by step:

  1. One instalment is calculated as 1% of the purchase price.
  2. Add the instalments due to calculate the total paid.
  3. Subtract that total from the purchase price to find the remaining balance before separately due costs.

Verify the payment beneficiary and account against official information for the registered project and its escrow arrangements. If instructions change or do not match, pause the transfer and confirm the change through a known, independently verified contact route.

Keep the payment schedule, bank confirmations and receipts together so each transfer can be matched to a contractual instalment. Our explanation of how a 30/70 payment plan works offers another example of why the stated percentages and payment triggers must be read from the project’s own terms.

Prepare identity, funding and representative documents

Prepare consistent identity and address information for the buyer, along with records that explain the source of funds. These may include bank statements, employment or business records, or documents showing the origin of sale proceeds.

For joint ownership, align the proposed owners’ names across the reservation form and SPA. The contracting buyers and their identity documents need to correspond, so agree the ownership structure before the contract is prepared.

If a third party contributes money, keep a clear record of who is paying and the nature of the contribution. The person sending funds and the named purchaser may differ, and the transaction team may need documents that explain the link.

For overseas signing or a representative acting under a power of attorney, establish which identification, signing, attestation or translation steps apply to the buyer and the document. Our Dubai property resources can support broader preparation, while the required formalities depend on the document and transaction.

If the purchase also forms part of a residency plan, read our Dubai property Golden Visa guide separately from the purchase contract. Residency eligibility does not replace the buyer checks or signing documents required for the property transaction.

Keep registration evidence and understand the handover notice

Keep the fully signed SPA, its referenced plans and specifications, payment receipts and any provisional registration evidence together. Oqood, the DLD’s off-plan registration record, relates to interim registration and is not the same as a completed-property title deed.

Check that each registration record identifies the correct buyer, project and unit. Retain it with the signed contract, rather than treating the reservation form alone as evidence of project registration.

A handover notice signals a stage in the developer’s completion and handover process. Read it with the SPA for response deadlines, inspection arrangements, outstanding payments and any steps required to take possession.

Preserve dated copies of documents and correspondence that record agreed changes. The final file should show which contract version was signed and which payments were made.

Run a final consistency check before signing

Compare the latest reservation form, SPA, payment schedule and attachments side by side. The buyer, project, unit, price and payment terms should agree across the full set.

  • Check that every referenced attachment is included, legible and clearly identified.
  • Resolve blank fields and handwritten changes before signing.
  • Make sure amendments and agreed incentives appear in the signed contract documents.
  • Retain the final versions with the developer and other relevant parties.
  • Do not release funds against unverified or changed payment instructions. Resolve discrepancies through an independently verified contact route first.

Read the property choice alongside the documents

The paperwork confirms what the buyer is agreeing to. The wider investment decision also involves location, rental plans, costs and the developer’s record, so these M&M resources can help frame that review:

Frequently asked
Does a reservation payment usually count towards the purchase price?

It may be credited towards the price if the reservation terms and SPA say so. The receipt should identify the payment and its purpose, so retain it with the contract file.

Can the named buyer be changed after the reservation form is signed?

A change may require the developer’s approval, revised buyer checks and amended contract documents. The effect can depend on the contract stage and the developer’s process.

Do overseas documents need to be translated or attested for a Dubai off-plan purchase?

Some documents may need translation, attestation or another formal step before the relevant party accepts them. The requirement depends on the document, its issuing country and the transaction, so obtain the applicable list for the specific document before arranging certification.

What should a buyer do if their passport expires during the purchase process?

Renew the passport and provide the updated identity details through the developer’s buyer-check process. Ask the transaction team whether the updated document must also be reflected in any registration file already prepared.
